Job Description
Transaction Execution Lead/ assist end-to-end execution of GPU infrastructure transactions, including asset acquisitions, compute rental arrangements, joint ventures, and structured finance deals Own deal structuring from inception through to signed documentation and financial close Prepare and present investment committee materials, including financial models, term sheets, and deal memos
Contract Negotiation & Legal Documentation Draft, review, and negotiate the full suite of transaction documents: master services agreements, GPU compute rental agreements, JV term sheets and shareholder agreements, NDAs, letters of intent, facility agreements, and SPV constitutional documents Manage external counsel across multiple jurisdictions; serve as the internal principal counterpart on all legal workstreams Support export control compliance, including BIS licensing matters and compute access risk analysis for cross-border deployments
