About the Role

The Corporate Attorney will join a sophisticated Mergers & Acquisitions and Corporate Transactions practice handling national and international deals. This position focuses on structuring, negotiating, and executing complex M&A transactions and general corporate matters.

Responsibilities

Lead and support M&A transactions from letter of intent through closing

Draft and negotiate purchase agreements, operating agreements, shareholder agreements, and ancillary documents

Conduct due diligence and manage transaction timelines

Advise clients on corporate governance, compliance, and transactional risk

Coordinate with opposing counsel, financial advisors, and stakeholders

Support securities matters and public company transactions where applicable
